Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of SafeGate ("Platform", "we", "us", "our"), operated by JKB Global. By registering an account, initiating a transaction, or accessing any part of SafeGate, you confirm that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree to any part of these Terms, you must not use SafeGate. Continued use of the platform after any updates to these Terms constitutes your acceptance of the revised Terms.
The SafeGate Platform
SafeGate is a digital escrow service designed to facilitate safe transactions between buyers and sellers in Nigerian social commerce. We act as a neutral third party that holds buyer funds securely until delivery is confirmed, then releases payment to the seller.
SafeGate is not a bank, financial institution, or payment processor. We are a technology platform that facilitates escrow transactions using Paystack as our licensed payment processing partner.
The platform is available 24/7 subject to maintenance windows. We do not guarantee uninterrupted access and will not be liable for downtime caused by technical issues, third-party service failures, or scheduled maintenance.
User Accounts & Registration
To use SafeGate as a buyer or seller, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials.
- You must provide a valid Nigerian phone number and email address during registration.
- You may not create more than one account per person or business entity.
- You must notify us immediately if you suspect unauthorized access to your account.
- SafeGate reserves the right to verify your identity at any time using government-issued ID.
- Sellers must provide valid bank account details before creating any transaction.
- Account sharing with third parties is strictly prohibited.
SafeGate reserves the right to suspend or permanently ban any account that violates these Terms, engages in fraudulent activity, or provides false registration information — without prior notice and without refund of any platform fees paid.
Transactions & Escrow Flow
All transactions on SafeGate follow a strict sequential flow. No stage may be skipped. Attempting to circumvent this flow — including arranging payment outside of SafeGate after initiating a transaction — is a serious violation of these Terms.
| Stage | Who Acts | Time Limit |
|---|---|---|
| Transaction Created | Seller | No limit |
| Buyer Payment | Buyer | Link valid for 72 hours |
| Seller Ships Item | Seller | Within 24–48 hours of payment |
| Buyer Confirms / Disputes | Buyer | Within 7 days of dispatch — after which the transaction auto-completes |
| Admin Releases Funds | Admin | Within 24 hours of confirmation |
Payments & Fees
All payments on SafeGate are processed in Nigerian Naira (NGN) through Paystack, our licensed payment partner. By making a payment, you agree to Paystack's terms of service in addition to ours.
SafeGate charges an escrow service fee of 1.5% of the transaction value (₦200 minimum), added to the buyer's total at checkout. This fee is non-refundable in the event of a successful transaction. In the event of a refund, the escrow fee may be partially or fully refunded at SafeGate's discretion.
- Paystack's own transaction fee (1.5% + ₦100, capped at ₦2,000) is separate from our fee and is borne by SafeGate internally.
- Fund releases to sellers are processed manually by admin at MVP stage. Automated payouts will be introduced in a future update.
- SafeGate does not charge sellers any fee for receiving funds — only buyers pay the escrow fee.
- All fees are displayed clearly before payment is completed. By proceeding, you accept the stated fees.
User Obligations
By using SafeGate, both buyers and sellers agree to the following obligations:
Sellers must:
- Accurately describe all products and services in transaction details.
- Ship items within 24–48 hours of receiving payment confirmation.
- Upload valid proof of dispatch (tracking number or dispatch receipt) to the platform.
- Respond to dispute evidence requests within the timeframes specified by admin.
- Maintain valid bank account details for fund disbursement.
Buyers must:
- Confirm receipt or raise a dispute within 7 days of the seller marking the item as shipped. If neither happens, the transaction completes automatically and the seller's payout is queued for release.
- Provide honest and accurate information when raising disputes.
- Submit photographic or documentary evidence via a Support ticket when claiming non-delivery or wrong item.
- Not initiate chargebacks through their bank while a SafeGate dispute is in progress.
Prohibited Activities
The following activities are strictly prohibited on SafeGate and will result in immediate account suspension, permanent banning, and where applicable, legal action:
- Providing false transaction details, fake product descriptions, or misleading information.
- Arranging payment directly with the other party after initiating a SafeGate transaction (bypassing escrow).
- Initiating fraudulent chargebacks through card networks while a dispute is active on SafeGate.
- Creating multiple accounts to evade a ban or circumvent platform restrictions.
- Using SafeGate for transactions involving illegal goods, counterfeit products, or prohibited services.
- Attempting to manipulate, hack, or exploit any part of the SafeGate platform or API.
- Harassing, threatening, or abusing other users or SafeGate staff.
- Colluding with another party to defraud SafeGate or other users.
Limitation of Liability
SafeGate's role is limited to holding and releasing funds based on transaction outcomes. We are not liable for:
- The quality, condition, or accuracy of products or services transacted through the platform.
- Losses arising from delays by third-party logistics or courier services.
- Losses caused by user error, including incorrect bank account details provided by sellers.
- Service interruptions caused by Paystack, Supabase, or other third-party providers.
- Indirect, consequential, or punitive damages of any kind.
In no event shall SafeGate's total liability to any user exceed the value of the transaction in dispute. This limitation applies regardless of the form of action — whether in contract, tort, or otherwise.
Account Suspension & Termination
SafeGate reserves the right to suspend or permanently terminate any account at any time, with or without notice, for the following reasons:
- Violation of any provision of these Terms.
- Suspected fraudulent, abusive, or illegal activity.
- Chargebacks initiated against SafeGate through card networks.
- Failure to respond to admin verification requests within stated timeframes.
- Any activity that SafeGate reasonably believes poses a risk to the platform or its users.
Upon termination, any pending transactions will be reviewed by admin. Funds held in escrow will be disbursed based on the evidence available at the time of termination. SafeGate is not obligated to reinstate any terminated account.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal dispute arising from your use of SafeGate shall be subject to the exclusive jurisdiction of Nigerian courts.
Before initiating any legal proceedings, users agree to first attempt resolution through SafeGate's internal dispute process. SafeGate will make reasonable efforts to resolve complaints fairly within the timeframes outlined in our Dispute Policy.
